Mango Live Terms

THIS IS A BINDING LEGAL AGREEMENT; PLEASE REVIEW IT CAREFULLY.

These Mango Live Terms (“Mango Live Terms”) govern your purchase of, and participation in, Mango Live offered by Creative Empire, LLC d/b/a Mango Languages, a Michigan limited liability company (“Mango Languages,” “Mango,” “we,” “us,” or “our”).

BY AGREEING TO THESE MANGO LIVE TERMS, YOU ALSO AGREE TO MANGO’S TERMS AND CONDITIONS AND THE MANGO LIVE CODE OF CONDUCT, WHICH ARE INCORPORATED HEREIN BY REFERENCE.

SESSIONS ARE OFFERED ONLY TO INDIVIDUALS EIGHTEEN (18) YEARS OF AGE OR OLDER. SESSIONS ARE RECORDED. SESSIONS ARE NON-REFUNDABLE.

THESE MANGO LIVE TERMS ARE SUBJECT TO THE MANDATORY BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 24 OF THE TERMS AND CONDITIONS.

1. Scope, Incorporation, and Precedence

1.1 Scope. These Mango Live Terms are additional terms within the meaning of Section 18 (Other Policies) of the Terms and Conditions and form part of your agreement with us. These Mango Live Terms apply to your use of Mango Live and each Session you purchase or attend.

1.2 Incorporation. The Mango Languages Terms and Conditions (the “Terms and Conditions”) and the Mango Live Code of Conduct (the “Mango Live Code of Conduct”) are incorporated herein by reference. By agreeing to these Mango Live Terms, you are also agreeing to the Terms and Conditions and the Mango Live Code of Conduct. Capitalized terms used but not defined herein have the meanings given in the Terms and Conditions.

1.3 Precedence. Where these Mango Live Terms conflict with the Terms and Conditions, these Mango Live Terms control with respect to Mango Live. In all other respects the Terms and Conditions apply in full and are not repeated here.

1.4 Privacy and cookies. Our collection and use of personal information in connection with Mango Live is described in the Privacy Policy. Our Cookie Policy applies to the Site and does not apply to the third-party video conferencing platform through which Sessions are delivered; that platform’s own terms and privacy policy apply to your use of it. Any individual whose personal information we collect in connection with Mango Live may exercise privacy rights directly with us on our User Privacy Rights page.

2. Definitions

“Booking Participant” means the individual designated at booking to participate in a Session, who may be the Purchaser or another person.

“Instructor” means the employee, independent contractor, or other individual authorized by Mango Languages to deliver a Session.

“Mango Live” means the service through which Mango Languages offers virtual, live language instruction and related services.

“Participant” means the Booking Participant or, where the Instructor accepts another individual under Section 8.2, that individual.

“Purchaser” means the individual who purchases a Session, whether for themselves or for another person.

“Session” means a virtual live session delivered by or on behalf of Mango Languages for language instruction, evaluation, coaching, goal setting, or related purposes. References in these Mango Live Terms to a Session mean a Session purchased by Purchaser.

“Session Recording” means the audio, video, transcript, and/or AI-generated meeting notes captured from a Session.

Words used in the singular include the plural, and words used in the plural include the singular, unless the context requires otherwise.

3. Eligibility and Age Certification

3.1 Age requirement. Notwithstanding Section 16 (Age Restrictions and Authorization) of the Terms and Conditions, Sessions are offered only to individuals who are at least eighteen (18) years of age. No person under eighteen (18) may purchase, join, or appear in a Session, and no parental or guardian consent permits otherwise.

3.2 Certification. Purchaser represents and certifies that Purchaser and the Booking Participant are each at least eighteen (18) years of age, and that no person under eighteen (18) will join or appear in a Session.

4. Booking for Another Person; Participation; Indemnification

4.1 Authority. If the Booking Participant is not the Purchaser, Purchaser represents and warrants that Purchaser has the authority to accept these Mango Live Terms on the Booking Participant’s behalf, and to provide the Booking Participant’s personal information to Mango Languages. Purchaser gives the representations and warranties in this Section 4.1 for any other person whom Purchaser permits or enables to join a Session.

4.2 Participation and Accounts. Sessions are accessed by meeting link, and an Account is not currently required to attend a Session. Designating another individual as the Booking Participant is permitted and does not constitute permitting another person to use an Account. Where an Account is used to purchase or manage Sessions, Section 2 (Accounts) and Section 3 (Use of Passwords) of the Terms and Conditions apply in full: Account credentials may not be shared with any person, including the Participant, and the Participant’s permitted use is limited to attending, by means of a meeting link, the Session(s) for which the Booking Participant is designated.

4.3 Responsibility. Purchaser is responsible for the Participant’s compliance with these Mango Live Terms and for the Participant’s conduct during and in connection with a Session.

4.4 Indemnification by Purchaser. In addition to and without limiting Section 19 (Indemnification) of the Terms and Conditions, Purchaser will defend, indemnify, and hold harmless Mango Languages and its Affiliates, employees, and contractors from and against any claim, demand, proceeding, loss, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising from or relating to a Session purchased by Purchaser, including, but not limited to, any of the following: (a) any claim brought by or on behalf of the Participant, including any claim relating to our collection, use, recording, retention, or disclosure of the Participant’s personal information; (b) the conduct of Purchaser or the Participant during or in connection with a Session, including any violation of these Mango Live Terms; (c) any person under eighteen (18) years of age purchasing, joining, or appearing in a Session; (d) any other person joining or appearing in a Session, whether or not authorized by Purchaser; (e) any representation or statement made by Purchaser, including at checkout, that is or proves to be false or inaccurate; and (f) any claim arising from the recording of a person present, including any claim under a law requiring the consent of all parties to a recording.

4.5 Indemnification by Participant. Where the Participant accepts these Mango Live Terms before joining a Session, the Participant gives Mango Languages the same indemnity as in Section 4.4, to the extent the matter arises from the Participant’s own acts, omissions, or representations.

4.6 General. The obligations in this Section are joint and several where both Purchaser and Participant are bound, and survive termination.

4.7 Purchaser’s notice obligation. Where the Participant is not the Purchaser, Purchaser will provide the Participant with a copy of, or a link to, these Mango Live Terms and the Privacy Policy before the Session. Failure to do so is a breach of these Mango Live Terms and is subject to Section 4.4.

5. Booking, Payment, and Instructors

5.1 One-time purchases. Sessions are sold individually or in packages as one-time purchases and are not Subscription Services. The provisions of Section 9 (Access and Use Charges) of the Terms and Conditions governing automatic renewal, Renewal Dates, recurring charges, and the fourteen (14) day prorated refund for defective Subscription Services do not apply to Sessions. Sessions do not automatically renew.

5.2 Charges and options. Session length, format, and price vary by the option(s) you select at checkout. Sessions are subject to availability, and we do not guarantee that a Session will be available on any particular date or at any particular time. You authorize us to charge your payment method the price of each Session you purchase, plus any applicable taxes. Prices are stated at checkout and may change at any time; the price in effect at the time of purchase applies. Promo Codes may be applied to Sessions only where the offer expressly says so.

5.3 Chargebacks. If you initiate a chargeback for a Session delivered in accordance with these Mango Live Terms, we may decline or cancel future bookings.

5.4 Instructors. Instructors may be located in various regions globally. Instructor assignment and continuity are subject to availability and operational considerations and may change at our discretion. We do not guarantee that the same Instructor will deliver every Session.

5.5 Restricted bookings. We may decline or cancel any booking by a person we have restricted following a violation of these Mango Live Terms, the Mango Live Code of Conduct, or another Mango policy, and may maintain a record of such restrictions.

6. Rescheduling, Non-Refundability, and Expiration

6.1 Sessions are non-refundable. All fees for Sessions are non-refundable and payment obligations are non-cancellable, except as expressly provided in this Section.

6.2 No cancellations or rescheduling by Purchaser or Participant. A Session may not be cancelled or rescheduled by the Purchaser or the Participant. Mango Languages may make an exception to this in its sole and absolute discretion. Any exception does not obligate Mango Languages to any further or future exceptions.

6.3 Deemed delivered. A Session is deemed delivered, and is not refundable or returned to your balance, if: (a) no Participant joins within ten (10) minutes of the scheduled start time; (b) the Participant declines to accept any notice, consent, or confirmation required to join, including the recording notice; (c) the Session cannot be held or completed because of the Participant’s internet connectivity or equipment; or (d) the Participant leaves before the Session is complete. We may, but are not obligated to, extend the ten (10) minute period in our discretion, and doing so on any occasion does not obligate us to do so again. A Session ends at its scheduled end time regardless of when the Participant joins.

6.4 Cancellation by Mango Languages. If we cancel a Session, or a technical failure attributable to us prevents a Session from being delivered, in either case, such Session returns to your balance and Mango Languages will reschedule such Session using our then-designated process. If such Session would otherwise expire before it can be rescheduled, its expiration is extended by thirty (30) days from the date of such cancellation or failure.

6.5 Expiration. Sessions expire twelve (12) months from the date of purchase. Unused Sessions expire at that time, do not carry over, and are not refundable.

6.6 Sessions ended for cause. No refund or credit is given, and no Session is returned to your balance, for a Session ended under Section 10.

6.7 Complete terms. This Section states the complete rescheduling, expiration, and refund terms for Sessions.

6.8 Consumers in the EEA and the United Kingdom. If you are a consumer in the European Economic Area or the United Kingdom, you may have a statutory right to withdraw from a purchase within fourteen (14) days. Where you book a Session scheduled to take place within that period, you expressly request that we begin performance immediately and acknowledge that you will lose the right of withdrawal once the Session has been delivered. Where a Session is scheduled after that period, you may withdraw within fourteen (14) days of purchase and receive a refund, notwithstanding Section 6.1.

7. Recording and Consent

7.1 Sessions are recorded. Every Session is recorded in full.

7.2 Notice and consent. The person joining must accept recording at the point of joining; a person who does not accept may not join the Session. Purchaser is responsible for ensuring that the Participant and any other person present are informed that the Session is recorded and consent to being recorded.

7.3 No other recording. Sessions may not be recorded, transcribed, photographed, or otherwise captured by Purchaser, the Participant, or any other person present without our prior written consent.

8. Meeting Link Security and Shared Access

8.1 Participation is limited to the Booking Participant. Sessions may not be shared with or attended by any other individual, and do not include family, household, or other shared access. Purchaser will not share the meeting link with any person other than the Booking Participant.

8.2 Purchaser is responsible for the meeting link. If a person other than the Booking Participant joins a Session, the Instructor may, in their sole discretion, accept that person as the Participant and proceed with the Session. Acceptance may be express or by proceeding with the Session, does not oblige us to accept any person on any other occasion, and does not limit our rights under Section 10. We will not accept a person who appears to be under eighteen (18) years of age. Purchaser remains responsible under Section 4.3.

8.3 We are not liable, and no refund is due, where a person other than the Booking Participant joins a Session using the meeting link, whether or not the Instructor accepts that person.

9. Session Conduct, Technology, and Sensitive Information

9.1 Mango Live Code of Conduct. The Mango Live Code of Conduct applies to Purchaser, the Participant, and any person appearing in a Session.

9.2 Who may appear on camera. Only the Participant may appear on camera during a Session.

9.3 Sensitive information. Sessions do not create a confidential or privileged relationship. Do not disclose information you expect to remain confidential or privileged. Do not share sensitive information during a Session, including, but not limited to, health or medical information, government identification numbers, financial account information, immigration status, or precise location. Instruction is not legal, medical, financial, immigration, or any other type of advice. Anything you share may be captured in the Session Recording and retained as described in the Privacy Policy. Session Recordings may be processed by AI features, and Section 27 (Use of Artificial Intelligence) of the Terms and Conditions applies, including its restriction on entering personal, sensitive, or confidential information into AI Features.

9.4 No off-platform solicitation. Purchaser and Participant will not solicit the Instructor who delivered their Session to provide instruction or other services outside the Mango Languages platform.

9.5 Technology. The Participant is responsible for having the technology necessary to participate, including adequate internet connectivity and a compatible device. We are not responsible for disruptions caused by the Purchaser’s or the Participant’s technical issues.

10. Termination of a Session Without Refund

10.1 We may end a Session immediately, without refund, if: (a) the Mango Live Code of Conduct is violated; (b) these Mango Live Terms, the Terms and Conditions, or any other Mango policy is violated; (c) a person present appears to be under eighteen (18) years of age; or (d) a person other than the Booking Participant is participating and the Instructor has not accepted that person under Section 8.2.

10.2 Where we end a Session under Section 10.1(c), we delete the Session Recording promptly and retain no still image of that person.

10.3 During a Session, we have no obligation to monitor the conduct of any person present or to end, suspend, or remove any person, and we are not responsible for the acts or omissions of any person present. We will not be liable to Purchaser, the Participant, or any other person for exercising, or declining to exercise, any right under these Mango Live Terms.
